POSITION OVERVIEW

Under the supervision of the Director of Risk Management and Compliance (RMC), the Compliance Attorney plays a pivotal role in MEDA’s efforts to meet compliance outcomes specified by its legal obligations, the demands, growth, and direction driven by administrative deliverables. The Compliance Attorney is responsible for agency compliance associated with its legal requirements. Responsibilities include coordinating from start to finish compliance requirements for a high volume of processing LLCs, research on legal obligations, training, creating/editing/designing legal documents, under the supervision of the Director of Risk Management and Compliance. This position will support the implementation of MEDA’s program compliance related to its grant awards and agreements through creating and reviewing contracts and compliance requirements for awards and agreements, developing guides or SOPs associated with contractual legal obligations, subcontracts, MOUs, and other supporting documentation.

DUTIES AND RESPONSIBILITIES

Duties and responsibilities include, but are not limited to the following:

  • Provide legal and tax advice and processing on corporate structure, including the formation of subsidiary entities, agreements between MEDA, external co-counsel firms that work with MEDA or its partners, and maintaining proper separation and control.
  • Assist with legal and tax advice on corporate operations, including review or preparation of (1) agreements with third parties, including consultant agreements, MOUs, fiscal sponsor agreements, and grant agreements; (2) required government corporate and tax filings, including annual Form 990 tax return; and (3) internal operation documents such as bylaws, governance policies, personnel manual, and employment agreements.
  • Offer training for directors and officers on roles, responsibilities, and personal liability.
  • Train staff and directors/officers on matters such as allowable lobbying and political activity.
  • Act as an advisor with CFO and Finance Committee on fiscal legal and compliance matters related to audits, financial oversight, review and implementation of investments and investment policy, and insurance needs.
  • Research, interview, and mitigate additional expertise in other areas associated with legal obligations
  • Develop legal or compliance-related SOPs for MEDA, specific to high-risk areas
  • Support in the development and updating of program policies, procedures, training and related forms and notices for MEDA and for outside agencies, community partners, and others as they pertain to legal obligations;
  • Ensure that program contracts, MOUs, partnership agreements, renewals and amendments, contractors are reviewed for legal responsibilities
  • Work with RMC Director to Maintain a schedule and calendar of annual certification/licenses due dates, and taxes
  • Assist the Director of Risk Management and Compliance in reporting areas of deficiency.
  • Ensuring communication with the Director of RMC on all benchmarks, due dates, reports, and or unanticipated situations that may arise.

Program Assessment and Reporting

  • Research and maintain current knowledge and compliance of applicable federal, state, and local authority/laws as required for grants.
  • Support and interpret contract compliance requirements to external collaborators where necessary.
  • Support the Director of RMC with accurate and timely information on legal changes required for programs and operations.
    Other duties as assigned by Director.

Desired Experience and Qualifications

  • 10-13 years of professional experience as an attorney.
  • Member in good standing and actively involved with the California bar.
  • Completion of a Juris Doctor (J.D. degree) from an accredited law school.
  • Experience with grant reporting, especially with government agencies (federal, state or local)
  • Experience with the following industry areas:
    – Community Development
    – Community Real Estate
    – Formation and Oversite of Non-Profits
    – Formation and Oversite of 501C4
  • Ability to understand and interpret program budgets and financial statements.
  • Excellent technical and computer skills, knowledge of applicable software programs, and experience working with databases. V-comply, Salesforce experience or similar database system is a plus.
  • High efficiency in Microsoft Office Suite, Excel, Google Suite, and Adobe Acrobat
  • Excellent Communication Skills
  • Strong organizational skills and attention to detail.
  • Strong project management skills to ensure appropriate progress to address deficiencies or delays.
  • People skills/ability to build strong working relationships with peers
  • High degree of independence, initiative, responsibility, and accountability, as well as capability in a team environment
  • Bilingual Spanish-English is a plus, with lived experience with Latino, immigrant communities, and/or communities of color.
  • Demonstrated commitment to racial equity and social justice
  • Positive attitude, sense of humor, flexibility, self-starter, team player, and can-do spirit;
